1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and MBoardApp ("MBoardApp", "we", "us", or "our") governing your access to and use of the MBoardApp website at mboardapp.com, our digital signage platform, and any related applications and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, do not use the Service.
2. The service
MBoardApp provides a cloud-based digital signage platform that lets you create, schedule, publish, and manage content on connected displays and devices. Service functionality may include content creation tools, media libraries, playlist scheduling, remote screen management, and device monitoring.
We may add, change, or discontinue features from time to time. Where a change materially reduces the functionality of a paid plan, we will provide reasonable advance notice.
3. Accounts and security
You must provide accurate and complete information when registering and keep it up to date. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Ensuring only authorised team members access your account.
Notify us immediately at hello@wheref.com if you suspect unauthorised access. We are not liable for losses caused by unauthorised use of your account where you have not safeguarded your credentials.
4. Plans and billing
The Service is offered under free and paid subscription plans as described on our website. For paid plans:
- Fees are billed monthly in advance on a recurring basis and are non-refundable except where required by law.
- Subscriptions renew automatically unless cancelled before the renewal date.
- You may upgrade, downgrade, or cancel your plan at any time; changes take effect from the next billing cycle.
- We may change pricing with at least 30 days' notice. Continued use after a price change takes effect constitutes acceptance.
- All fees are exclusive of applicable taxes, which you are responsible for.
If payment fails, we may suspend access to paid features until the outstanding amount is settled.
5. Acceptable use
You agree not to use the Service to:
- Upload, display, or distribute content that is unlawful, defamatory, obscene, harassing, hateful, or otherwise objectionable.
- Infringe the intellectual property, privacy, or other rights of any third party.
- Transmit malware, spam, or other harmful or deceptive material.
- Attempt to gain unauthorised access to the Service, other accounts, or related systems and networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer the Service except where such restriction is prohibited by law.
- Resell or sublicense the Service without our written consent.
We may remove content or suspend accounts that violate this section.
6. Your content
You retain all rights to the images, videos, text, and other material you upload to or create with the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, reproduce, and display Your Content solely as needed to operate and provide the Service to you.
You represent and warrant that you own or have the necessary rights to Your Content and that it does not violate these Terms or any law. You are solely responsible for the content displayed on your screens, including its compliance with local regulations applicable to public displays.
7. Intellectual property
The Service, including its software, design, logos, and documentation, is owned by MBoardApp and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.
8. Third-party services
The Service may integrate with or depend on third-party services, devices, operating systems, and networks (for example, media players, smart TVs, and browsers). We are not responsible for the availability, performance, or security of third-party services, and your use of them is governed by their own terms.
9. Service availability
We work hard to keep the Service reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control. Where maintenance is planned, we will try to provide reasonable notice.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that content will display correctly on every device.
11. Limitation of liability
To the maximum extent permitted by law, MBoardApp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Our total aggregate liability for any claim arising from these Terms or the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees due, or where required by law. Upon termination, your right to use the Service ends immediately and we may delete Your Content after a reasonable retention period. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
13. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will notify you by email or through the Service at least 14 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. General
These Terms, together with the Privacy Policy, are the entire agreement between you and MBoardApp regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
